IMPORTANT – READ CAREFULLY
This Software Licence Agreement (“Agreement”) governs the use of the AAAPOS RetailManager software, related documentation, user guides, explanatory materials, updates, and any modified versions or upgrades provided to you (collectively, the “Product”).
By installing, accessing, or using the Product, you confirm that you have read, understood, and agree to be bound by this Agreement.
If you do not agree to these terms, do not install or use the Product and return it to the reseller in its entirety for a refund in accordance with the reseller’s return policy.
1. Definitions
- AAAPOS, we, us, or our means AAAPOS Pty Ltd and its related entities.
- You or Licensee means the original purchaser or authorised user of the Product.
- Product means the AAAPOS RetailManager software and associated materials.
- Perpetual Licence means a licence to use a specific version of the Product indefinitely, subject to this Agreement.
- Subscription Sale means access to the Product granted subject to ongoing payment of subscription fees.
- Support Services means technical support and maintenance services offered separately by AAAPOS.
2. Grant of Licence (Scope of Licence)
AAAPOS grants you a paid-up, personal, non-exclusive, non-transferable licence to use the Product strictly in accordance with this Agreement.
2.1 Single Network / Location
You may use the Product:
- on one computer network owned or operated by you,
- at one physical location, and
- only in respect of data files created by you or another licensed user.
You may transfer the Product between computers on that network provided:
- usage does not exceed the licensed number of computers or terminals;
- the Product is not used on more than one network at any time.
Upon upgrade or product exchange, the licence automatically transfers to the new version and all rights to the previous version cease.
3. Copies and Restrictions
You may:
- make copies solely for archival, backup, or error-verification purposes.
You must not:
- copy or duplicate the Product beyond what is expressly permitted;
- decompile, disassemble, reverse engineer, or modify the Product;
- copy any documentation or explanatory materials;
- permit unauthorised access or use.
4. Transfers
You may not sell, sublicense, rent, lease, lend, or otherwise transfer the Product or your rights under this Agreement.
A permanent transfer is permitted only where:
- your entire business is sold,
- AAAPOS provides prior written consent, and
- the transferee agrees in writing to this Agreement and maintains an active support package.
You must retain no copies following transfer.
5. Term and Termination
This licence remains in force until terminated.
5.1 Termination by You
You may terminate at any time by destroying or returning all copies of the Product.
5.2 Termination by AAAPOS
This Agreement terminates automatically if you breach any term. Upon termination, you must immediately cease use and destroy or return all copies.
Termination is in addition to, not in substitution for, any other legal remedies.
5.3 Subscription Termination
If the Product is used under a Subscription Sale, termination of the subscription automatically terminates the licence.
6. Protection and Security
You agree to take all reasonable steps to:
- protect the Product,
- prevent unauthorised access, copying, or distribution.
7. Subscription Sales
Where the Product is supplied under a subscription:
- your right to use the Product depends on continued payment of subscription fees;
- non-payment results in automatic termination of access.
8. Product Support
- Subscription customers are entitled to support for the current version.
- Outright or perpetual licence purchases may include a limited support period.
- Ongoing support is available under separate monthly or annual agreements.
- Minimum support term: 12 months.
- 30 days’ written notice is required to cancel support services.
9. Limited Warranty and Disclaimer
9.1 Media Warranty
AAAPOS warrants that physical media is free from defects for 90 days from purchase.
If defective, AAAPOS will replace the media upon proof of purchase.
This is your sole remedy.
9.2 Disclaimer
Except as expressly stated:
- the Product is provided “as is”;
- you assume all risk as to performance and results.
To the maximum extent permitted by law, AAAPOS is not liable for any:
- direct, indirect, incidental, special, or consequential loss;
- loss of data, profits, business, or use.
If liability cannot be excluded, AAAPOS’s total liability is limited to the licence fee paid.
10. Australian Consumer Law
Nothing in this Agreement excludes, restricts, or modifies:
- the Australian Consumer Law (“ACL”);
- any non-excludable consumer guarantees.
Where liability under the ACL cannot be excluded, remedies are limited to those permitted by law.
11. Perpetual Licence Clarification
A Perpetual Licence:
- grants an indefinite right to use a specific version of the Product;
- does not grant ownership of the software or systems.
A perpetual licence does not guarantee:
- ongoing compatibility with future hardware or operating systems;
- availability of activation, licensing, or server infrastructure forever;
- continued updates, patches, or support;
- that the Product will not be end-of-lifed or retired.
Activation, support, and infrastructure are separate services unless expressly stated otherwise.
12. Legacy Systems and Successor Liability
Where AAAPOS has acquired or succeeded a product:
- existing licence rights are respected;
- AAAPOS is not obliged to maintain obsolete or third-party infrastructure;
- failure of legacy systems may constitute frustration or impossibility, not misconduct.
AAAPOS is not required to rebuild or maintain obsolete activation systems where commercially unreasonable.
13. Trademarks
All trademarks referenced are the property of their respective owners.
Unauthorised use is prohibited.
14. Entire Agreement
This Agreement (and any applicable Subscription Agreement):
- constitutes the entire agreement;
- supersedes all prior representations;
- may only be amended in writing signed by an authorised AAAPOS representative.
15. Governing Law
This Agreement is governed by the laws of Australia, and the parties submit to its courts.
